12. Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the United States of America and the State of Delaware, without regard to its conflict of law provisions. For any Dispute that is not resolved through informal negotiation or arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, United States of America, as the competent courts to settle such Disputes.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between Codnexy and you regarding the Service, and supersede and replace any prior agreements or understandings between us regarding the Service.
